Terms of Service

Effective date: June 1, 2026

Not legal advice. PropFlow provides compliance tooling and document templates. It does not provide legal advice, and using PropFlow does not guarantee any legal outcome. You remain solely responsible for your own compliance with all applicable laws (including TCPA, DNC, state telemarketing, and real-estate regulations). Consult a licensed attorney for your situation.

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the PropFlow platform ("Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and any organization you represent.

2. The Service

PropFlow is a multi-tenant software platform for real-estate wholesalers and agencies that provides lead management with PII masking, a compliance-gated outbound calling system (including optional AI-assisted voice), document template generation, and seat-based billing. PropFlow is a software tool only; it is not a law firm, licensed broker, telecommunications carrier, or data broker.

3. Your compliance responsibilities

You are solely responsible for how you use the Service, including obtaining any required consent before contacting individuals, honoring Do-Not-Call and opt-out requests, complying with the federal Telephone Consumer Protection Act (TCPA), state telemarketing and call-recording laws, real-estate licensing and wholesaling requirements, and all data-protection laws. PropFlow's compliance features (quiet-hours gating, DNC/opt-out suppression, consent logging) are aids, not guarantees, and do not replace your own legal diligence.

4. Bring-your-own credentials

Calling, messaging, AI-voice, and data functionality require you to connect your own third-party accounts (e.g., Twilio, Vapi, OpenAI, licensed data providers). You are responsible for those accounts, their fees, and their terms. Credentials are encrypted at rest in your workspace vault.

5. Acceptable use

You may not use the Service to place calls or send messages without a lawful basis, to scrape or traffic in unlawfully obtained personal data, to harass, or to violate any law. We may suspend workspaces that create compliance or platform risk.

6. Billing

Paid plans and per-seat charges are billed through our payment processor. Prepaid AI-voice credits are consumed as calls are placed. Fees are non-refundable except where required by law. Failed payments may lock your workspace until resolved.

7. Documents & templates

Assignment contracts and disclosures generated by the Service are templates for convenience only and do not constitute legal advice. Requirements vary by jurisdiction; have a licensed attorney review any document before use.

8. Disclaimers & limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, PropFlow is not liable for indirect, incidental, or consequential damages, or for any regulatory penalties, fines, or claims arising from your use of the Service. Our aggregate liability is limited to the amounts you paid us in the twelve months preceding the claim.

9. Changes & termination

We may update these Terms; material changes will be posted here. You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms.
